Guanzi is a book that provides many ideas, with a lot of controversy.The first part of the paper, from the perspective of the historical background, analyses the differences between Guanzi and the works by Guanzhong, discusses some confusing controversy about Guanzi, and expounds the possibility for Guanzhong to have written some works, with balanced consideration of both material and spiritual aspects of cultural development. It is mainly based upon the literature of Pre-Qin period, with reasonable reference to Guanzi and other material evidence.The second part is on Guanzhong's ideas of "rites" and "law". Guanzhong has been considered as someone that didn't know rites. But considering the logic development of rites of the period, what he said and did showed that he grasped the essence of rites, and that he could apply rites appropriately. As the representative of the early phase of "The School of Law", Guanzhong's ideas of law has always been emphasized. The paper will discuss its philosophical foundation and its actual application, from the perspectives of legislation and execution.
