The theory of capital of enterprise is always the criterion of guiding the practice of financing of the west countrise and our country,for which,the enterprise give more and more focus on the link of the financing practice and the theory of capital.Especirlly,as the main force of our market economy,the listed company's financing constitution's correctness and correspondence with the theory of capital is the strategy question. On the basis research theory of capital,by analysis of obligatory right's financing,especially the transfeerd bond financing 'case,drawing a conclusion of the proportion of increasing the obligatory right's financing is essential,by the future of improvement and ripe of the security market.This thesis can give brain -washing to us for our work of financing practice of the enterprise.I am the participater of the enterprise managing,for which,in the course of research of the theory of capital,then may not have a deep view of the research.But the combination of the listed company's financing practice,especially the case of transfeerd bond can give the guiding to the practice of MBA and the practical participater of the enterprise managing.This thesis consists of seven chapter.The first chapter introduces the research backgrund,methods,domestic and oversea rsearch,the second chapter introduces some concepts of the theory of capital,the third chapter presents the classic theory of capital,the fourth chapter introduces the subsequence of the financing of the west countries and the support of the theory,the fifth chapter give the analysis of the financing of the transferrd bond,the sixth chapter prasents the case of financing of transferred bond of the bank of merchants of china,the seventh chapter presents the arguments of theory of wether the obligatory's financing can increase the cost of capital or not.By the above analysis,in our countrie's security market,by the future of the improvement of the obligatory's bond of financing,including the transfeerd bond of financing,the listed company will increase proportion of the constitution of financing.As the participater of the enterprise managing,and the reader of this thesis can give the benifet according to practice of financing,then he can get some basic acknowlegement of the practice of transfeerd bond.In the future of management of financing,he can get the previouse practice for guiding.
