"Going-out" strategy is a hot topic of the society in recent years, and has aroused the attention from each side. From developing "going-out" strategy only in the past to developing "coming-in" and "going-out" simultaneously at present, we can see our leaders' determination and willpower to the reform and opening policy. After more than 20 years' development, the non-state-owned enterprises have already become an important component of national economy. Under the great environment open to the outside world of our country, it is the inevitable choice that the non-state-owned enterprises expand their development and growth space to move towards the international market. Compared with state-owned enterprise, the non-state-owned enterprises have the advantages of clear property rights, flexible mechanism and so on, and have the ability and conditions to become one of the main bodies of "going-out" in our country. The existing literatures which study outward direct investment of Chinese enterprises mainly rely on state-owned enterprise; there is relatively less research related to the non-state-owned enterprises. In the transition period of foreign economy of our country and under the great background of private economy's emerging in national economy day by day, the paper fingers that it has very important meanings to study outward direct investment of the non-state-owned enterprises, and this will make important contribution to promote rapid development of private economy next time and promote the prosperity of the economy of our country further. The paper starts with defining the definition of the non-state-owned enterprises and the research on western scholars' foreign direct investment of developing countries, inquires about the reason, the superiority and the inferiority of outward direct investment of the non-state-owned enterprises, and points some opinions and suggestions, in order to have some reference functions to "going-out" of Chinese non-state-owned enterprises.Particularly, the paper is divided into four chapters. The first chapter is the theoretical research frame. At first, it defines the intension of the non-state-owned enterprises and foreign direct investment; this is the foundation of analyzing and studying outward direct investment of the non-state-owned enterprises in China. Secondly, through retrospect and reference to foreign direct investment theory of developing countries, it seeks the theory foundation of developing outward direct investment of Chinese non-state-owned enterprises. The second chapter is current situation and reason analysis of outward direct investment of the non-state-owned enterprises in China. This chapter has summed up development course, current situation of the development and development characteristic of the non-state-owned enterprises. On the basis of this, it has analyzed the current situation of outward direct investment of the non-state-owned enterprises in China. Finally, this chapter analyzes the motive force of outward direct investment of the non-state-owned enterprises in China from the angle of the change of the present domestic and international economy environment and meeting enterprises' own development needs, and proves that it has necessity in fact. The third chapter analyzes the advantages and disadvantages of outward direct investment of the non-state-owned enterprises in China. This chapter analyzes the superiority of going abroad possessed by the non-state-owned enterprises in China, and carry on the discussion to the inferior position of outward direct investment of the non-state-owned enterprises in China from the macroscopic aspect and microscopic aspect. The fourth chapter is the countermeasure of outward direct investment that should be adopted by of the non-state-owned enterprises in China. On the basis of drawing lessons from foreign direct investment theory of developing countries and combining the actual conditions of the non-state-owned enterprises in China, this chapter proposes the countermeasure and suggestion of the foreign direct investment of the non-state-owned enterprises in China from macroscopic institutional improvement and the microscopic aspects of enterprises.
