With the development of times, the human society has entered a new and knowledge-oriented era which is taking the place of the traditional production elements-- capital, labor and estate, which are once regarded as the main source of company. Knowledge capital has become an important factor of enterprise core competitions.As a kind of knowledge capital, human capital plays an important role in building the company's core competitions. But the key employees'resign and over-dependence on human capital will cause the turbulence of core competitions. Thus, company now has to focus on how to transform human capital into organizational capital which is much easy to control.At first, the paper made a particular analysis of the definitions and traits of knowledge, human capital and organizational capital. Then, it made an investigation of several current conversing models which are from human capital to organization capital, on the base of which the paper reclassified knowledge by analyzing the coupling between human capital and organizational capital, and the internal mechanism of the transformation form human capital to organization capital was also investigated, which is based on the reclassification. With Chinese traditional Yin-yang theory, the paper set a Ying-yang model of conversion between human capital and organizational capital. The model pointed out that the conversion between human capital and organizational capital is bidirectional and mutual, and it made an illustration of the mechanism, impact factor and the way of functions of the conversion. In the end, the paper analyzed the successful management of Shanghai Foreign Language Education Press (SFLEP) by using the model.The innovations of the paper are as follows: First, the paper not only critically inherits the traditional classification of knowledge, but also re-classified it as Continental knowledge and Anglo-American knowledge in the terms of knowledge application. The paper also made an investigation of the conversion between human capital and organizational capital based on the classification. Secondly, it made a Ying-yang model of conversion between human capital and organizational capital. Thirdly, it made an analysis of SFLEP by using the Ying-yang model.
