The thesis attempts to make a deep research from internal motivation and external factors on the reasons that Chinese companies choose to list abroad rather than in-house.The thesis concludes that the conceivable internal motivation includes: (1) To improve corporate structure; (2) To set up risk management system; (3) To upgrade company's global credit standing; (4) To develop overseas market; and (5) To implement incentive mechanism by stock option. Potential external factors include: (1) Time and complexity of IPO process; (2) Cost and expenses of IPO; (3) Capacity and P/E of the stock market; (4) Admission prerequisite; (5) Supervision; (6) Diversity of global stock market; (7) Discrepancy of culture; (8) Demonstration effect of other listed companies; (9) Domestic regulation; and (10) Suggestion of IPO advisers.The author made a complete and deep analysis to the reasons that Chinese companies IPO abroad from internal motivation and external factors, which is other dissertations did not mentioned in detail.The essence of the thesis is to provide companies who are preparing to list abroad some valuable analysis, which suggests them evaluate and balance their status quo and conditions they have own internally and externally, consider the IPO the significant opportunity, and become a competitive player in the global market.
