Nowadays, the reform of the state-owned commercial banks is now a great job in the economic reform in china. To set up fine corporate governance, to promote steady management and good development, and to improve the general competitive ability are the core points in the reform. It is urgent and of important theoretic and practical sense, therefore to study the actual situation that the state-owned commercial banks are now facing, investigate the issues on corporate governance, use successful experience from abroad for reference, and find suitable corporate governance for Chinese banks. The article investigates corporate governance of the Chinese state-owned commercial banks by combining theoretical analysis and positive analysis etc.Firstly the article gives the concept of corporate governance, experts' points, the contents and related theories of corporate governance. Subsequently the author reviews the course of reform of state-owned commercial banks, mainly external governance reform, and analyzes the current state-owned commercial banks' weaknesses, mainly the owner absent from their duties, and incentive mechanism fail, internal control etc. Namely the inland comparison to the reform of state-owned commercial banks.In the third chapter the author investigates corporate governance models of the developed commercial banks, external governance model represented by Britain and America and internal governance model represented by Germany and Japan, analyzes the reforms of French, Korean, and the Czech state-owned commercial banks. The author points out that we must give full consideration to the reality of our economic environment, when we use foreign experiences.
