As one way of corporate management, stock incentives are mainly used to deal with the agency by agreement problem in the companies. The management incentives is about back to the later part of the 20th century in the western countries, and are more and more important today. These years, with the research on the modern corporate system, the stock incentives are used frequently in the revolution of the corporate management in our country. The foreign and mainland professors has gain a lot of useful results in the research, but it's still a problem that how to design a stock incentives system suitable to the feature of our country's industries.This paper starts from the basic principle of stock incentives; analyze the stock incentives from the angle of economic and management. Then review the documents to summarize the theoretical and empirical results in the world wide.Subsequently, give a overview of the rule release process in China. There many ways of execute stock incentives, the next will a introducing of the many ways and also compare the different ways of doing stock incentives. On the basis of theoretical analysis, the article uses the measurement method of liner regression to research the relationship between the stock incentives and the company's performance in all the industries. What's more also do the empirical research according to the different industries. The purpose of the empirical research is to find out which industry is more suitable to execute stock incentives.According to the conclusions of theoretical analysis and empirical tests, the author makes some recommendations from the point of view of how to improve the use of stock incentives in China listed market from the internal and external view.
