At present, China's enterprise reform in the field, three issues seem particularly noteworthy, first, the lack of systems of collective enterprise restructuring, the restructuring of specific policy and theory; Second, many enterprises have been restructured, the modern enterprise system, no substantial progress in building; Third, enterprises have been restructured employee stock ownership is universal, but the employees take part in democratic management of the channel is not smooth. Therefore, the reference typical business experience and explore new ideas to solve these problems, new methods, new ways to make business operations more standardized, effective, and promote China's economic and social health, stability, and orderly development of the very important practical significance.In this paper, collective enterprises XS works as the research object to the logical analysis of the main, and theoretical analysis and empirical study of the enterprises. First of all, both from external and internal environment analysis of the background of the enterprise restructuring. Then discussed the reform of enterprise property rights XS factory key, difficult and the resolution process, which focused on analysis of clear property rights related to quantification of the net assets, staffing, equity diversification.
