Research on finance governance in domestic begins with the finance governance of the state-owned corporation, and develops with the deep reform of the state-owned corporation. As the state-owned corporation plays the leading role in economical fields in our country, the research on finance governance of the state-owned corporation in domestic has the special function on theory and practice. At present, the state-owned corporation has some problems, as following: the managers control the state-owned enterprises, the rights of small and middle stockholders get damaged, and the parent corporation transfers the rights of the creditors and so on. These problems relate more to rights of finance governance, and they are not resolved by financial management which depends on value studying. It needs innovation and instruction of finance governance theory to adapt the new situation badly.Based on the principal-agent theory, the theory of corporation contract, and the theory of property rights, the thesis puts forward the definition of financial governance and probes into the theory of financial governance mechanism. Then the paper brings forward the meaning of financial governance mechanism and its content, which includes financial decision-making mechanism, financial inspiriting mechanism and financial restricting mechanism.Aiming at the main problems above, this dissertation analyses the causes in particular, and puts forward the countermeasures to perfect the financial governance mechanism of state-owned corporation. Finally, the dissertation points out the main problems of the group, based on the case of state-owned corporation 999 group on financial governance mechanism. It gives us more thinking.
