Following thirty years'development after economy reform and opening-up, private enterprises go through a long growing process, and play an important role in the national economy. But with the coming of a new century, the rapid development of knowledge economy and information technology make the private enterprises'traditional patterns face more and more stern challenges.Chinese private enterprises produced and developed in some specific historical conditions, so in the initial stage, it use family-management pattern usually. This pattern may suit that time's demands in some extent, but with expansion of the scale and intensity of competition, the traditional pattern's disadvantages arise. Consequently, for the sustained, steady and rapid development of private enterprises, it must be reformed.First, this thesis analyzes the present situation of private enterprises'corporate governance and divides the problems of corporate governance into three groups: property right, Entrust and Surrogate, board of directors'problem. Then researches how to establish effective corporate governance of private enterprises in China, specifically, it divides the following parts: adjustment of property-right structure, construction of board of directors, adjustment of interior relationship and so on. Finally combines the practical example, explores how to establish effective corporate governance of this kind of enterprises and how to increase the operating 0efficiency. All this theory supplies some guidance views to private enterprises'reform and resolves the problem of development from the root, all the efforts can make the private enterprises suit the challenges and opportunities in the new century and new situation.
