The independent director system originated in the America, it can't only solve the insider-controlled problems, but also make company's business decisions scientifically. Since 1990s, the independent director system has been introduced, expecting to solve the problems such as the company controlled by the internal person, the lack of supervisory mechanism and the protection of small shareholders and so on.The efficiency of independent director system depends on whether independent director can play his role effectively or not, so, the research on the compensation system of independent director has the vital significance on urging the independent direct assiduously to fulfill responsibility, maintaining the small shareholder's benefits, fairly supervising the managers, enhancing the independence of the board of directors, and making company's management structure perfect. Therefore, the compensation system is of the great importance in the independent director law system construction; this system relates to the independent director's independence, independent director's rights, obligations and so on, and the independent director compensation system should be the extremely valuable topic in the independent director law system.But in fact, as a measure to improve and perfect the management structure of listed company, independent director system is impacted by the underdeveloped compensation system of the independent director, the independent director compensation system is far from perfect in our country, the problems are as follows: compensation insufficiency, the single form, the decision institution is unreasonable. Therefore, is very important to establish and perfect independent director compensation system, and the design to the system will become the key issue, we should take full account of the influence of compensation to the independence of independent director and must keep balance between them. This paper is divided into two parts, in the first part, the author analyze the relation between compensation and independence, the form of the compensation and the decision institution on the basis of combines theories in and out of country, in the second part, this article analyze the current situation and existing problems of independent director's compensation in our country, and based on the successful experience of the western countries and according to the development of social economic our country background and legal system, the author put forward some suggestions.
