After many years development, most of the small and medium enterprises had through the hard phase of crave-out, now they are at the growth phase. At the growth phase , as the company has limited resource , so the company must conformited the resource from the out, include: the human resource ,which embody the manager, the technician and so on. But they do not the esay resource, they are the resource which can bring the surplus value, these human resource usually called the human capital. When the company absorb these capital, the property right structure which used major in the money ,does not fit the development of the company. At this circs, the company how to reform the property right structure bases on the human capital ,which is the theme of this paper.The paper includes:First, at the prefarce part, from the problem, we can see the importance of this paper, and analyses the importance of the theory and the practices. And then ,brief express the paper's structure.Second, during analyze of the human capital theory, the paper introduce the meaning of the capital ,the character of human capital, the difference between the human resource and the human capital. At last, the paper bring the actuality of the human capital theory. When analyze the difference between the human resource and the human capital, the paper analyses the important difference between the huaman capital and human resource, and then analyze the aim of reformantion of the company property right structure. When analyses the theory of the property right, the paper major in the meaning , the theory and the structure of the property right. Which can bring the long inspirit fuction to human capital.Third, when analyze the human resource problem of the company ,which based on the phenomenons of the company, for example: the short-sight of the manager, the blow-the-gaff of the teachnician , analyze the reason of these problems—the company does not realize the value of human capital, and the need of stimulation.At last, based on the practice of the company, the paper bring the reformantion methods ,and bring some guarantee mechanism, whichi include: the princple, the contens, the form, the time of the reformantion.
