In this paper, it is the incentive's precondition and start that we are baseon high-level manager's action and need, and basing on our country's existingsystem we carry through state-owned enterprise's high-level managerincentive mechanism's study. Need and incenting—Incentive mechanism—Incentive mechanism's synthesis design are this paper's masterstroke, we doanalyses of theory, and we design project and analyze model to perfectstate-owned enterprise's incentive mechanism, we are base upon the abovedesign to gain state-owned enterprise's high-level manager many advantage,finally we are going to get most gain.The paper are divided into two part, the first one expatiates concept andcharacter of high-level manager and incentive mechanism, and we pass toanalyzing state-owned enterprise's high-level manager incentive actuality toestablish high-level manager incentive mechanism's need and eight principleand infection equation, finally we establish high-level manager incentivemechanism's design and casing model. The second one discusses the salarysystem of the year and date power of stock and spirit incenting to bring forwarddesign project, and we compare a few incenting mode to study generalincenting mode. Finally we table a few proposal on state-owned enterprise'shigh-level manager incentive mechanism.
