Since the concept of stokeholder was proposed by the Stanford research institute in 1963, the domestic and foreign scholars have conducted extensive research and have gotten certain achievement. The foreign scholars Eric Rhenman and Igor Ansoff's foundation research made the stokeholder theory form an independent theory branch. The research of Freeman, Blair, Donald son, Mitchell and Clarkson made the stokeholder theory form a quite perfect theory frame finally, obtain the very good effect in the practical application and receive the widespread attention. The domestic scholars'research of stokeholder began in 1990s have been developing mainly following the deeply launching of enterprise theory and the company governance research. And most representative researchers are Yang Ruilong, Zhou Yean and Li Weian and so on.From the different angle, scholars researched who are the stokeholders actually, what are their respective right, the relations with enterprise, and the right realization mechanism. And they achieved the certain mutual recognition that the stokeholder should participate in the company governance together. However, the research that how to safeguard the stokeholders'benefit effectively was quite deficient. This article is precisely attempts from this angle to seek the right way to safeguard the stokeholders'benefit truly and provide the reference to realize the long-term sustainable development for the enterprise.The research of this essay is basic on the stokeholder's concept written by Management doctor, Chen Honghui in Zhongshan university, in his book named"Stokeholder's benefit request: theory and practice research". He said the stokeholders are some individual and the community who have carried on the certain special-purpose investment in the enterprise and undertaken the certain risk. Their activities can either affect the business goal or were influenced by the process of the enterprise to realize its goal. Each stokeholder has reparative benefit request embarking from himself. They must be authorized certain right to safeguard their benefit. By applying the appraisal target system of stokeholder benefit safeguard, we chose a few samples of native enterprises to appraisal their situation of the benefit safeguard of the stokeholder. The general number of the sample is 136. The maximum value of the sample is 86 , the minimum value is 41, the difference of the maximum value and minimum value is 45, the mean value is 62.75 and the standard difference is 12.60. The mean value of the sample is between 60-70. So the stokeholder's benefit of the sample enterprises is a little safeguarded.By analyzing the result of the appraisal, we got that most native company, including almost all companies that stokeholders govern the company together, are at the beginning of establishment constructs or gradually consummates. The designing of the domestic governance frame is mainly basic on the safeguard of the Shareholder's benefit. They pay a little attention to the manager and the worker. But they pay little attention to exterior stokeholders who affect the company and are affected by the company.Chinese company governance can not apply any kind of pattern mechanically. Whether pure internal person pattern or pure exterior person pattern is difficult to face the time development. Speaking to China, the real effective governance pattern need to conjunct with the Chinese market,lay and culture. According to the characterizes of market development and the company organization, Chinese governance is very imperfect still. The stokeholder governance together will be useful to deal with the problems of the native company governance and overcome the government's "the inexpensive voting right".However, stokeholders governance together do not mean each stokeholder is the owner of the company and have the surplus right of the company. Because it will make the company face too much pressure, balance each stokeholder much too difficultly and be not responsible to any stokeholder finally. Moreover, the more owners and level of the company are, the less impossibility of coordination is, the more expensive of the community decision cost is. And it is difficult to operate the system. So, the stokeholder governance together do not mean all the stokeholders become the owner of the company and get the surplus right. But according to the different development phase of the enterprise or the development need and the relation, the stokeholder has account right to participate in the company governance to safeguard their benefit realize.Now the quota analysis according the profession, growing term, the type, the scale and the management goal to arrange the important stokeholder and definite benefit the correlation degree of satisfaction and the enterprise manage the achievements correlation and so on is also very few. The research of this aspect will provide the powerful basis for the enterprise to formulate the correct strategy; also will be the development direction of the stokeholder future research.
