Human capital is not only a conductive element but also a systematic one in corporations. Modem human capital theory only regards human capital as a conductive element and research its influence and contribution to the output of company qualitively and quantively, this is far away enough. This paper shows that it is not only the abjective requirement of the theory of corporation governance and development of practice but also an inevitable trend of the development of human capital theory.Through analying the relative materials, I found the new aspect to research the human capital theory in the corporation governance structure and hope to an innovation of this problem. This paper based on human capital theory, in corporate governance, basingthe pricing model of differentia of human capital through the game analysis of human capital and substance capital, then make out the different governance method. In base of dynamic stock equity system, it put forward dynamic human capital stock equity system and want to provide a clue for innovation of corporate governance in our country.Describing the content of human capital, then show the property right of human capital, that is to say the right of human capital only be owned by its owner. In addition, dissertate the relative theory to human man capital.Setting forth the essence of corporate govemance, the definition of human capital's differentia and the reason of different govemance method. It set up a pricing model of human capital's differentia through the analysis between human capital and substance capital, to go on the theory analysis of how the different types of human capital take part in the property right division of corporation.Demonstrate the realizing way of different governance of human capital in modem corporation governance structure and also analyse the concrete example. In base of dynamic stock equity system, it put forward the design of dynamic human capital stock equity system and realize an innovation of property incentive theory of human capital.This paper consider that corporation property right is the combination of sustance and human capitals, they all own the same status in this right system. Human capital should be qualified with shareholders equity and suplus demand right and suplus control right. But there are some difference at the method of dividing the above two right of different types of human capital. This paper go on the theory analysis to this difference through the establishing of model and relate it with the concrete example to make out different resolutions.
