FDI has great influence on amphitryon country, which is a well-known fact. Therefore there's drastic competition for getting FDI between governments, especially between governments of developing country. According to the FDI theories, the appeal to FDI depends on the location advantage and type of the multinational company, which is concerned with the FDI policy of the amphitryon government. The FDI policy is not only used to protect the national industry, but also can be used to assort with the conflict of national industry development and the multinational company, and what's more, it can be used to improve the location advantage and minimize the negative influence. So it has great practical meaning to research FDI policy for improving reform and opening level, improving the quality of using FDI and fastening the development of national economics.The emergent problem our country needs to resolve is not how to allure FDI as many as possible, but how to improve the quality of the FDI. The developed countries like the USA have been doing better than us in this area. As a country with great capital flow both in and out, the USA's FDI policy has a long history, which is worth learning from. Therefore this paper chose the USA's FDI policy as the object to compare with china's FDI policy. This paper tries to find out some successful experience and get out some suggestion about the adjustment of china's FDI policy through studying the USA's FDI policy.The main points and conclusions are as following:1.The United States has been kept the world's largest stock of FDI for several years. Foreign investors in the United States have invested a total of 2.7 trillion U.S. dollars in tangible assets and 1.9 trillion U.S. dollars in the United States shares. These foreign companies brought to the United States 5.3 million job opportunities, and made great contributions to the economic development of the United States. In addition to the enormous size of the U.S. economy, based on the FDI policy latitude investment environment facilitate the operation of the company, also limited in the foreseeable appropriate policies and systems and the tax burden and other factors are the reasons for the United States to attract FDI.2.There are two basic principles of USA's FDI policy: overall open and moderately manages. On the one hand, the American government carries out the foreign open policy, granting foreign capital the national treatment; on the other hand, US forbids the foreign capital to enter certain fields which is regarding national securities.3.The China's opening policy only has more than 20years'history, in recent years china has become the country which continuously attract most FDI for many years among the developing nations. China has obtained great achievement by using the foreign capital. But, because our country economy development conditions fall behind the developed countries, the FDI policy orientation is both encouraging and limiting. On the one hand, because lacks of the fund and the technology, we must adopt the preferential policy, devoting to the improvement of investment environment to attract more foreign capitals; On the other hand, in order to protect and develop our nationality industry, prevent the serious impact on economy caused by excessively opening (for example financial crisis impact), we also need to makes the certain limit to the enter of foreign capital.4.At present, china has many problems in using foreign direct investment, for example, industrial structure of the foreign direct investment and the local distribution are not reasonable; FDI has certain negative influence to national economic security; the environmental pollution question is serious and so on. The emergent problem our country needs to resolve is not how to allure FDI as many as possible, but how to improve the quality of the FDI. The developed countries like the USA have been doing better than us in this area. There are two points in adjusting china's FDI policy: first, to construct uniform FDI policy system, establish fairer, better environment for foreign investment and the consummate the legal laws and regulations; second, to attach importance to the guidance and the management to FDI, strengthen the industrial guidance and the local guidance of the FDI policy, comprehensively improves the quality of using foreign capital. An innovation point is the researching aspect of this paper. This paper used the demonstration method to compare the basic principles, law systems and the main content, then conclude the points lying in USA's FDI policy which is worth learning from, and analyze the problem existing in our country and give the concerning policy suggestions.
