ESOP is a new organization former of property right which bases on the theory of human capital property right .It has been proved to have good and standing avail in stimulating employee's enthusiasm ,instilling vitality into the enterprise ,solving the difficulty of enterprise financing and promoting the enterprise development.ESOP is rather mature abroad as the managerial innovative project ,but it is in groping and underway stage at home .While it is quite common that ESOP is adopted in those state-owned enterprise .People hold that ESOP is an efficient way for property rights reforms , and ESOP employees can be better motivated in state-owned enterprises ,new vitality and energy can be input into those enterprises and thus eventually more competitiveness can be achieved . On the other hand ,less attention is paid to the practice of ESOP in Chinese Non-state owned Hi-tech enterprise .In fact ,overseas practice has proved that ESOP has get satisfactory effect in Non-state owned Hi-tech enterprise ,but stock incentive bring many problems in the stage for Non-state owned Hi-tech enterprise ,incentive study in ESOP for Non-state owned Hi-tech enterprise has important meaning .Non-state owned Hi-tech enterprise is in burgeoning and Hi-tech industry .Outstanding achievement of enterprise depends on the contribution of human capital in most degree .Human capital in these enterprises has the character of high value ,more devotion to value motivation ,and employee has creativity ,a sense of achievement ,the ability of independent work and high flow ,so enterprise need lasting motivation to employee . This means that enterprise need motivation mode that both meet the return to material capital and lasting motivation in order to enhance the efficiency and value of the enterprise ,make the employee to work for the enterprise and motivate them to work for the enterprise goal .Stock equity has the above character ,so ESOP can make employee to get the same stock equity as material capital .Adopting ESOP also accord with the management character and the motivation to the heterogeneous human capital property right for Non-state owned Hi-tech enterprise .The important value of human capital necessarily lead to the sharing of the enterprise property right for human capital .With the time of knowledge economy ,human capital becomes more and more scarce .It is potential trends for the possessing of the enterprise property right for human capital .ESOP can carry out the motivation to the human capital property right and human capital has huge contribution in Non-state owned Hi-tech enterprise ,so ESOP acknowledges the ownership of employees'human capital of Non-state owned Hi-tech enterprise and stimulate them in means of the ownership characterized by equity .When a employee possesses the stock of enterprise ,he possesses objective ownership of the enterprise in law ,but overseas a great deal of research indicate that objective ownership isn't direct influence to the employee or organization performance ,by psychological ownership indirectly ,i.e. mental experience of the employee to ownership (right to equity ,right to information ,right to control)influence the employee's attitude and behavior and lead to effect enterprise performance .So it is necessary that employ possess the right to information and control ,they will work hard to enhance enterprise performance .Hence objective ownership is no doubt important ,from the function of motivation psychological ownership is more useful .when designing ESOP ,considering mental experience of the employee to ownership .ESOP affirm the employee's human capital property right ,then distributing the quality of stock to the employee can achieve the motivation to human capital property right ,i.e. how to making the contribution of human capital accord with return .The paper adopt AHP to make qualitative analysis transform quantification .Take the scientific and technical personnel in the Non-state owned Hi-tech enterprise example ,practical operation as follows:(1)Suppose the stock quantity to the scientific and technical personnel G_总;(2)Analyze the post of the scientific and technical personnel by AHP ,to conclude the weight number to each goal Q_i(i=1,2,…n);(3)Aiming at each goal ,expert give the each the scientific and technical personnel the scores S_i(i=1,2,…n);(4)The last scores W_i=;(5)The total scores for all scientific and technical personnel W_总=;(6)The stock quantity for each scientific and technical personnel G_i = G_总×W_i÷W_总.The paper study the ESOP of Non-state owned Hi-tech enterprise , providing guidance in theory and suggestion in the method in stock incentive .Use for reference for Non-state owned Hi-tech enterprise in carrying out ESOP .Besides the research of human capital property right in modern enterprise practice ,i.e. ESOP has important theoretical and practical meaning for the innovation of modern enterprise system and management.
