Our country stock market has got comparatively gratifying achievement and demonstrated fine development tendency in the past 2006.For one thing,it will make people restore their confidence to stock market and indicate that the Chinese std(?) market become mature.For another,along with Chinese stock market be in line with the international conventions gradually,the phenomenon of bankruptcy of listed company will inevitable come, Therefore it will be a critical problem about how to protect the benefit of minority shareholders during the bankruptcy.Taking the mature stock market of UK-US as an example, its ultimate and umque concern is the rights and interests of minority shareholders which is the foundation tor the stock market to exist , stabilize and develope.In China, although there hasn't appeared bankrupted listed company in stock market so far, a listed company entering a bankruptcy proceedings already has being common and the phenomenon of the small and medium stockholder's equity being encroached have encountered many time which will become bottleneck location for our country stock market to perfect.This paper analysed the new cooperate law ,bond law , bankruptcy law and procedural law on the protection of the minority shareholders ,then analysed the current situation of minority stockholder's equity being encroached on in China.Next.the paper released the hehavior relationship between small shareholder and involved people through Game Theory.After that,this paper summed up the main reasons for invasion of the interest of minority shareholders by contrast between China and other west countries.Finally,paper gave some suggestions of how to avoid the encroachment of minor shareholder.
