The Classifying Research On The Management And Control Mode Of Parent Company And Subsidiary Company Based On The Concertration Factors

As the position in the economic activity of enterprise groups being outstanding day by day, and a great deal of questions that the enterprise groups of our country exist in developing, make the management of the enterprise group, especially the parent company and subsidiary company manager become the focal point and focus that studied together by the theory circle and business circles. The core question of parent company and subsidiary company management is that the management system arranged under the company governance structure frame, therefore its research contents are divided into company governance mode question of parent company and subsidiary company, and managed and controlled mode question of parent company and subsidiary company.The core of this thesis is to research management control modes of parent company and subsidiary company. Because the company governance question of the parent company and subsidiary company is closely related with the manage and control question, this thesis supposes that the governance problems of the parent company and subsidiary company has received better settlement at first. At the same time it limits the research range of this thesis in the management to its wholly-owned subsidiary and share controlled branch companies by parent company. Encircling on this research theme, this thesis review and summarize the theory and research of manage and control of parent company and subsidiary company at first, and pointes out the deficiency among them .The most crucial question of the management of the parent company and subsidiary company is the centralization of state power and fraction in the management control. The mainly problem in present study is lack of analyzing the key factors that influence the centralization of state power and fraction, which is aboutthe foundation of this question. This thesis calls these factors as concentration factors which influence the management of parent company and subsidiary company. Because of these, this thesis analyses the concentration factors first. Then divide concentration factors into middle factors and basic factors. Among them, basic factors influences and decides directly the middle factors. And middle factors influence the management and control mode of parent company and subsidiary company directly. The middle factors are differentiated to the control character of the parent company and the independent character of the subsidiary company. Then be divided into the control ability and the control demand of the parent company, subsidiary company's independent demand and independent ability. The basic factors include the concrete measurement of the enterprise in different fields.On the basis of the analyzing about the concentration factors, this thesis conformity these factors then. And according to the different combination of the concentration factors divide the management and control of the parent company and subsidiary company into four modes: Running Control Mode, Strategy Control Mode, Strategy Guiding Mode and Finance Holding Mode. After that, this thesis study these four management and control mode from different aspects, they are the management orientation of the parent company, the appropriate framework, the function partition of parent company and subsidiary company and the evaluation system of performance of the subsidiary company. In chapter five it combines the actual case to explain and represent the research results of this thesis.Finally this thesis summarizes questions existing while studying and looks into the distance. And hope the foundation study about the management and control of parent company and subsidiary company, and the frame and thought of structurization put forward by this thesis can supply certain help and reference to enterprise groups.
