As the market competition becomes more and more drastic, the function of human capital in the development of enterprise can't be ignored. The realization of enterprise's aim depends on the ability and work enthusiasm of proprietors. So to inspirit and restrict proprietors logically is an effective way, which can improve their work enthusiasm and efficiency. At the same time, it is a difficult problem which all the owners and proprietors should face when they are separated under the modern enterprise system.This paper researches the history literature about prompting and compensation, concludes the theory about prompting, the form and the function of compensation and the relation between proprietor's compensation and corporation's performance on Economics. Analyzing the prompting flow which is carried out to the proprietor by modern enterprise from the characteristic of the modern enterprise system, the author thinks it necessary for the realization of enterprise's aim to inspirit the proprietor. Through exploring the proprietor's human capital, it is clear that it is not sufficient qualification to inspirit the proprietor. Based on the theoretical investigation, their relevancy is educed and explained through making demonstration researches on the relationship between proprietor's compensation and enterprise's performance of high managers in many stock companies in Jiang Su Province. The paper also analyzes the reason why the performance of Zhong Xing Company is improved more and more. At last, based on the theoretical investigation and demonstration analysis, the author makes several suggestions to the compensation which lies in microcosmic side and the government which lies in macroscopical side.
