| As the core of the modern-enterprise system, the perfect corporate governance is not only the important frame of modern-enterprise system but also necessary to strengthen corporate competitiveness and improve operating performance. So corporate governance has been paid close attentions and it is still a hotspot to this day, whether in West Country which joint-stock company has existed over 200 years or our country that is in the period of economic transition. With the going on deeply of reform and opening-up, Chinese enterprises face the important transform to build the modern enterprise system as corporate organizational form. However, when our country regards modern-enterprise system as the reform direction of the state-owned enterprise, many enterprises don't follow the criterion and corporate governance is twisted seriously. So it is a great subject in front of our country's enterprise to construct rational corporate governance structure to improve performance and to make enterprise's benefit maximize.Adopting the data of 102 listed corporations, this paper analyzes concretely the influence of ownership structure, board of directors and managers of listed company on corporate performance. We think it is correlative between corporate governance and performance of listed corporation through setting up a multi-linear regressive model and analyzing it. The result of the positive research shows, the proportion of the top shareholder shareholding, the degree of ownership restriction, the size of the board of directors, the current shares rate and the pluralism of board chairman and CEO have outstanding effects on performance of listed corporation. At last, this paper indicates some deficiencies of listed corporation's governance in China and puts forward corresponding suggestions to improve them, which have significant reference to perfect corporate governance of listed company in China and promote its performance. |
