| The paper is entitled as 《Research on Protection of Enterprise Capabilities in The Process of M&A Integration》 , emphasize on the problem of the breakage and loss of the enterprise capabilities in the process of M&A integration.M&A can be taken as quick purchase of external enterprise capabilities and resources to replace the slower internal development of enterprise capabilities and resources, making the enterprise capabilities transfer and diffuse between both enterprises, integration and development on this basis, enhancing the existing enterprise capabilities and accumulating the new enterprise capabilities, inventing the new value for enterprises. However, all these based on the valid protection of existing enterprise capabilities. Therefore, this paper commenced from the theory of enterprise capabilities. Firstly, this paper analyses the main and related factors that influence the growth and development of enterprise capabilities. Secondly, discusses how enterprise M&A integration influence the main and related factors of the enterprise capabilities in detail, and then influence the existing capabilities of both enterprises, finally, put forward the homologous enterprise capabilities protection countermeasure on this foundation.The originality of the paper lies in the idea that enterprise capabilities breakage and loss relate not only the enterprise itself but the external stake-holders. The essence of enterprise capabilities breakage and loss originate breakage and loss of the related factors influencing enterprise capabilities growth and development and enterprise capabilities.
