University-owned enterprise in China attracts increasing attention because of its rapid growth and its contributions to our nation's economy. At least forty such enterprises are currently listed directly or indirectly in China's stock markets for public stock trading. It is also estimated that around five thousand university-owned enterprises become profitable business entities in fields of industry, commerce, and scientific research and development, etc. In addition to business success, such type of enterprises provide grounds fundamental to instructional activities and scientific research of universities. However, structural problems, similarly existing in both nation-owned enterprises and private corporations, are impeding and will jeopardize the further growth of university-owned enterprises. Regular operation of such business firms are hassled by excessive interference from the university board due to unclearly defined ownership. Meanwhile, by doing so, the university assumes itself unlimited liability, improper for a business entity. Once such enterprise bankrupts, there exist no regulations or laws stipulating the withdrawal mechanism for the university.By comprehensive exploration of university-owned enterprises' attributes, this paper attempts to formulate feasible systematic solutions to above-referenced problems through integrating available reform cases of university-owned enterprises and constructive theories on reorganization.
