Theoretical and practical study for related items is more and more important with the more frequent M&A during these days in our country. This paper shows the basic theory and conceptions and discusses the existed performance evaluation mathematic methods and their shortages. On the base proposed, Using RBFNN (Return Back Propagation Artificial Neural Network) to devise the performance evaluation model in M&A.First of all builds a evaluation system including profitable index, operation index, development index and liability index, which also is a system comprising a 2 hierarchy, 12 items. Collects and selects samples which are M&A pharmacy enterprises, then uses AHP and inkling mathematic means in the evaluation system with the samples to get the training specimens needed in next step. Inputs the samples' index and takes the samples' evaluation values obtained in former step as training specimens in the RBFNN training in which training precision is 0.01. It shows the RBFNN model is achieved when the precision is in requirement. Finally, applies the model to evaluate the M&A pharmacy enterprises in 2003 and get the three years (02,03,04) evaluation values. The results show that: In the whole, 40.7% enterprises' performances are improved but 51.9% not; differentiated the type of the M&A, the performances of merger enterprises is better than that of control right transfer. Except that, 11.1% enterprises' performances are improved only on 2003 but decreased on 2004 badly.Different from other performance practical study for M&A, the paper adopts RBFNN method to model and evaluate the M&A such modeling way can realize revisable, accurate and efficient evaluation, which is more advantageous than existing evaluation ways.
