The mergers and acquisitions of state-owned enterprises by transnational corporations was almost been appeared for twenty years. Since the beginning of the 1990's, it had showed up, then because of some variety of policies in our government, this kind of activities had calmed for some years. Our government began to encourage the transnational corporations to take part in the reformation of state-owned enterprises by means of merger and acquisition. And it provided more opportunities to the merger and acquisitions of state-owned enterprises by transnational corporations that WTO required its member countries should open their domestic market step by step. So that, the merger and acquisition activities will increasingly mix into the economy and life in our country, that also makes it necessary to study the merger and acquisition activities to state-owned enterprises by transnational corporations in both theorization and practice. It become to our first mission to fairly understand the characteristic, tendency and rule of this activities.In this background, this paper will divide into four chapters to deeply make a research on this merger and acquisition activities to state-owned enterprises by transnational corporations from theorization and practice. The first chapter is mainly about the development of cross-border merger and acquisition activities in recent years.
