The government implements MBO regarding the large-scale state-owned enterprise from not opposing in the initial period, to not suitable, again to prohibition; from constant fuzzy regarding the middle-small state-owned enterprise, to mark off the classification, again to open green light. MBO has experienced a winding course in our country.Through the careful analysis, we discovered that the reason of MBO receiving the problem and limit is mainly "the state-owned property right transfer price after the actual operation is whether reasonable legitimate", "whether it can make the state asset drain", "the purchased state-owned property right capital source and the financing channel are whether right", "whether it can increase the enterprise and investor's financial risk", " whether implementing MBO can increase the enterprise achievements" and so on, but these problems mostly are concerned with the finance. This article precisely conducts the research on MBO financial problem under this kind of background state-owned enterprise in our country.In this article firstly through MBO theory basis and its development course analysis in our country, we obtain the primary factor of restricting the state-owned enterprise in our country to implement MBO -MBO financial problem; then to the financial problem which exists in the MBO operation, the financial risk and guard problem at present in our country as well as implement MBO financial achievements problem we carry on full proof and analysis, and unifying our national condition, under existing policy, laws and regulations frame, propose the problem solution rationalization proposal, hope that it can remove implement MBO restriction factor, consummate MBO movement mechanism, display its state-owned enterprise reform function better in our country.
