Collapse of an enterprise, accounting information distortion, illegal operation and management must ,to a great extent , have something to do with the unsound internal control. Thus how to improve and perfect the internal control has become the most interesting subject which is concerned by economists and management for a long time. A lot of corporation events such as eron make us giving much concern to the internal control. With the was issued in 2002 and which was issued by COSO recently are aimed at new internal control problem. The heart of the matter is to guarantee that enterprise can formulate effective internal control measure for programming and recording financial information, in order to improve degree of enterprise openness and creating good enterprise government environment.In the process of reforming state-owned enterprise, in the process of establishing modern enterprise system, in the process of involvement of international competition, to establish internal control system is a matter of great urgency. Studying the present condition, research topic about internal control is mainly aimed at ordinary enterprise. The internal control about large enterprise is poor. The present study probes into the theoretical systems of internal control in line with the practical planning procedures and contents which large enterprise should flow in design internal control. It further verifies the internal control through case studies.First of all, in the probe into the constructs of internal control and the evolutional process of the environmental impact, the report entitled "Internal Control-Integrated Framework" issued by COSO of the United States in 1992 is believed to be bearing the latest constructs regarding internal control and has been widely taken by both the government and business sectors as the major grounds to set up the internal control policies. The COSO report points out that internal control includes five key components. Through enforcement of the five key components, large enterprise is assured to satisfactorily accomplish the three objectives of internal control-operation objective, financial reporting objective and compliance objective.
