State-owned enterprises are the backbone of China's national economy. With the development of reform and establishing of market economy system, the management system of state-owned enterprises was being reformed step by step, management mechanism transferred constantly, market competition abilities increased, large quantities of state enterprises develop and strengthen themselves in this progress. There are also some state-owned enterprises can not adapt to the requirement of market economy, transferred their mechanism laxly, met difficulties in their production and management progress with their weak market competition abilities, and their financial benefits reduced in large range. All things considered, the reasons are various, but one of those reasons is very important, it is the lack of an effective stimulation system in state-owned enterprises, especially a scientific and rational stimulation system to those managers in state-owned enterprises. The fact of lacking of enthusiasm and creativity, leads to the exanimate status of state-owned enterprises. First, the text carries on the comparatively systematic argumentations to the motivational theory. Then, the article carries on history retrospect and current situation analysis to the stimulation mechanism of managers for the state-owned enterprises. With using incentive mechanism of enterprise operator's in U.S.A. and Japan for reference, this thesis has come up with principle that the manager for state-owned enterprise of our country stimulation mechanism to be designed, afterwards has put forward thinking and some concrete countermeasure to set up and perfect the stimulation mechanism of managers.
