The Research On Investors' Residual Rights Of Claim And Control Rights Of Firm's Asymmetrical Arrangement

Private enterprises want to break the bottleneck of funds, management and trust resources restriction to acquire their development, which demands a kind of efficient firm's ownership arrangement. The modern theories of the firm insist that the superior firm's ownership arrangement requests the symmetrical arrangement of residual rights of claim and control rights of firm. However, the arrangement of residual rights of claim and control rights of firm is not necessarily symmetrical, and this kind of asymmetrical arrangement unnecessarily means the more lower firm efficiency than symmetrical arrangement. From the perspective of residual rights of claim, this article combines the research methods of management and economics to research the asymmetrical arrangement of residual rights of claim and control rights of the firm by using theoretical and practical reasoning, finally, this article tests theories actually by Zhejiang Saintyear Holding Group Co. ,LTD's cases.In this research, the residual rights of claim is extensive power of obtaining firm's income according to production factors which firm's investor threw into enterprise , how much the residual rights of claim is decided by firm investor's investment proportion .
