In knowledge economy era, the competition among enterprises in essence is the competition of person with ability. executives especially excellent executives become the core resource of modem enterprises ,because of the particularity of executive human capital ,how to motivate ,attract executive in order to enhance the profits of enterprises is key to development of enterprises. While the top-management compensation play such a role.This paper integrates a analysis framework of top-management compensation motivation in a general way in the basic of sum up of former literatures ,then study the relationship between the top .management compensation and performance of the listed companies ,using statistical description analysis and hypothesis testing analysis .This dissertation collects samples from all listed companies from 2005 to 2008,then draws the analysis conclusion as following: Doing statistical test on different company performance index and same executives' compensation index reflects difference ;doing statistical test on different executives compensation index and same company performance index reflects difference ; period factor affect the Correlation of corporation performance and executives' compensation ;the correlation between corporation performance and executives' compensation is relatively significant ;but the correlation between corporation performance and executives' shareholdings is not significant.So, when designing the system and incentive mechanism of senior executives we should design different core index aiming at different incentive objects and incentive methods and integrate different incentive instruments ;different incentive package and different incentive objects, with adequate thought of corporation's feature, environments, potential emergence, local economy, consumer preferences. Redesigning executives' compensation plan and improving executives' compensation structure may help us construct a long-term incentive system .And then combine short-term incentive with long-term incentive in order to enable the Senior executive 's ability to obtain the maximized display, promote development of enterprise.
