External auditing plays an indispensable supervision role in the enterprise's management and operation as the independent third party and has been given our increasingly exclusive attentions from all groups of social life. In recent years, China has repeatedly failed the audit cases; a serious credibility crisis appears to China audit sector. And as an associate audit clients and CPA's "economic ties", audit fee, affecting the quality of the audit, obtain gradually attention. In December 2001 the China Securities Regulatory Commission published the "public offering of securities companies to disclose information Quiz No. 6—to pay compensation and its disclosure of accounting firms", China's listed companies were required to disclose their audit fees in annual reports for the fist time. The fact that the reward of CPA from the beginning of secrecy to open is to open the audit fees must provide information and data to support the policy. It will not only help investors get more useful information from an annual report, but also offer empirical evidence for the supervision department to make supervision measures.Based on the results from previous studies and the use of public disclosure of the annual report of the audit fee data and the use of multiple linear regression analysis of the way to China's Shenzhen and Shanghai's A-share listed company's audit fees were positive factors. At home and abroad in the literature review on the basis of China's current lack of research, it provides the descriptive analysis on the impact of factors of China's audit fees to establish an audit fees and the impact of factors of multi-linear regression model. The model used data from the database of CSMAR. Through empirical analysis, it draws the following conclusions: a listed company size, the assets-liabilities ratio, ST, the audit's opinion, audit international four, audit national four had most remarkable influence to audit fees; the receivable for the total assets ratio, the inventory for the total assets ratio, shares outstanding for the total capital stock, the number of independent board and the establishment of audit committee didn't have significant impact on audit fees. Finally, the results from the empirical analysis put forward the corresponding policy recommendations for the securities regulatory departments.
