Along with the continuous deeply reform of our nation's financial system, some commercial banks which have wonderful business performances will enter the stock market in abundance, this will lay the good foundation for our nation's commercial banks which will participate in the international capital markets competition. As the essential parts of the financial system, the characteristics of the business of the listed banks are highly sensitive and risky, furthermore, with highly external feature. At present, there are a lot of problems in information disclosure of our nation's commercial banks, such as the truthlessness, the insufficiency, the disunity, etc. If information disclosure of the listed commercial banks is not regulated strictly by the regulating organizations, the false, incomplete and out-of-date information of the listed commercial banks will certainly run amuck, which will also harm the ordinary investors' confidence of their operation of investment in the stock market of our country, which will in turn decrease the effectiveness of resource allocation of the stock market and proper operation of it. Thus, under the present environment of the Past-Subprime Crisis, how to perfect the information disclosure system as well as its exterior regulation mechanism of the listed commercial banks is an important and urgent issue front of us.This article mainly adopts the standard method of research, and follow the principle which the theory is combining with the practice. First of all, making definitions of the basic concepts of the exterior regulation of information disclosure of the listed commercial bank, and expounding the necessity and critical importance that a sound and effective system of the exterior regulation of information disclosure of the listed commercial bank is to be set up according to China's particular situation, which begins with analyzing the problems of low level of the information disclosure of the listed commercial banks in China. Then, this article makes a research of the existing problems of the exterior regulation of information disclosure of the listed commercial bank, and analyzes the reasons of the existing problems. Next, it bears great significance to develop and perfect the system of exterior regulation mechanism of information disclosure of the listed commercial banks in China through analyzing the experience of U.S.A and U.K, Moreover, and the international banking industry supervision coordinated organization-The Basel Banking Supervision Committee. Finally, about the existing problems of the exterior regulation of information disclosure of the listed commercial bank in our country, this article mainly proposed the following countermeasures: Firstly, advancing and consummating the laws and regulations' system which the judicial regulation needs, especially the civil relief system's consummation; Secondly, transforming the idea of administrative regulation, perfecting the coordinated mechanism between administrative regulation authorities, constructing the supervision system of administrative regulation; Thirdly, displaying great roles of the social facilitating agency's supervision such as the listed accounting firms, perfecting the autonomy supervision system which are composed with the Securities Association, the Banking Association and so on.
