Abstract/Summary:
Audit opinions issued by CPAs who are regarded as the independent third one to evaluate accounting information quality play an important role to the development of the capital market. In the post-crisis era, how to get a high-quality audit opinion and further improve the quality of accounting information so as to ensure the effective operating of the capital market become the focus of attention. In recent decades, many domestic and foreign scholars have done extensive researches on the effect factors of the audit opinion's patterns. But, researches from corporate inner governance are very lack. Efficient mechanism of corporate inner governance means lower fraud risk and CPA would like to give clean audit opinions, such as standard unqualified audit opinion. Therefore, corporate inner governance must have a significant impact on the audit opinion's patterns and accounting information quality.This paper uses both the Normative method and Empirical method to research the relevance of the corporate inner governance and audit opinion. At first, based on the domestic and foreign literature review, it respectively expounds the basic theory; then analyze the correlation between the two; finally, based on the Tianjin listed company annual financial data in 2001 and 2009, through the description statistical analysis to the overall condition of the audit opinion and the correlation and regression analysis research, the paper tests the relevance of the corporate inner governance and the audit opinion from three aspects(board governance, ownership structure governance, management governance). We find that corporate inner governance makes a material impact on audit opinion. More specifically, firms with a comparatively larger board of directors, a higher proportion of independent directors and manager incentive level are less likely to receive a modified audit opinion; the leadership structure of board of directors with CEO duality and the ownership concentration is negatively proportional to the types of audit opinions, but not distinctively.
