Building the government-enterprise cooperation framework for the primary land development, the allocation scheme of risk between the government and the enterprise, constructing the model of the benefit distributing.The main contents of this paper are as follows:Firstly, analysising of the advantages and disadvantages of each model, such as the fully government-led, the fully enterprise-oriented, the government leading and market-operation. Going with the new situation changing, the relationship between government and enterprises is also changing.The government-enterprise cooperation is becoming a necessarity in the primary land development. Secondly, according to the project designing theory, analyzing the mode of the cooperation between government and enterprises is to set up joint ventures, besides, on the basis of the project management,build the organizational structure between the government and enterprises.Thirdly, by the expert interviewing, analyze and summarize the type of risk, and according to the principle of "Who has the most ability to control, who will pay" design the risk allocating scheme.Finally, establish the benefits distribution models amang government, business and the original land owners or users.The purpose of the operation mode innovating of the primary land development is to made the primary land developmen more standardized and rational. By designing a fair and reasonable profit distribution model amang the government, enterprises, and the original land owners or users. It will help to mobilize the initiative that the enterprises involve in the primary land development.It will also help to get the support of the original land owners or users. Besides, it is conducive to build a harmonious society.
