With the continuous raise of the status of the commercial bank in the financial system, the impact of the commercial banks to the financial system is increasing. In order to standardize risk management activities of commercial banks, the China Banking Regulatory Commission clearly defined in "Commercial Bank Capital Adequacy Regulation" in 2004 the capital adequacy ratio requirements. And in later years, capital adequacy requirements continuously increasing. In order to meet the requirements, commercial banks continuously financed in the capital market in large-scale. Meanwhile, regulator's Acquiescence on the large-scale financing also contributed to commercial banks'desire of financing. However, this attracted criticism from investors and academics, they thought that these banks was making use of listing qualifications to collect money on behalf of company itself or the shareholders and the managers and disregard the interests of minority shareholders.This article derives from the reality of large-scale commercial bank financing and the dispute of bank financing, conducting research based on the logic of "whether financing enhanced the business performance, if so, whether the shareholders return for Major shareholders and Minority shareholders is fair". First, theoretically analyze the relationship between commercial bank and operating performance and the relationship between commercial bank and shareholder returns, then test empirically using comprehensive evaluation method and regression model, in order to verify whether the listed commercial bank financing is conducive to the improvement of business performance and increase of shareholder returns. Finally, we put forward relevant policy recommendations according to the empirical analysis.
