Since 1970s, Corporate Governance has always been a hotspot problem not only in theory but also in practice in the world. China has analyzed the Corporate Governance from 1980s.On this influence, China has paid attention to this issue responding to the state-owned company. In the resent year, with the development of socialist market economy and deepening of the reforms in China, so many economic crisics broke out.Looking for the reasons, the author consider the most important reason is the structure of Corporate Governance that ignores the related person.In order to deal with the conflicts, the author use The Du Pont System to analyse the relationship between the shareholders,managers and the employees.The paper has five setors.Firstly, the author introduce The Du Pont System.Secondly, the author mostly write the theory of Corporate Governance, including the notion of Corporate Governance, the issue of the Corporate Governance Structure and the mode of the related interest.Thirdly the author analyses the relation between the Corporate Governance Structure and the Capital Structure.Then with the case of a company, the author give us a good example.In the end, the author give us many suggestion to improve the corporate performance.
