The theory of Leader-Member Exchange attracts so many researchers in the field of Human Resources Management, study of Behavioral Science, Psychology and so on. Most of the private enterprises begin with "family management pattern". Therefore, they are different from state-owned enterprises, foreign private companies as well. For example, more emotions exchange and leading authority were emphasized.This paper investigated more than 10 private enterprises, using the impact factor structure inventory of private enterprises' LMX and it had a good reliability and validity. The impact factor structure of private enterprises' LMX was explored by exploratory factor analysis and confirmatory factor analysis. Besides, the paper also compared s while the demography variables are the same by multiple comparisons. Finally, the following results were studied:Firstly, there were five dimensions of the structure of private enterprises:competencies, personality, upward attitude, exchange behavior, circumstances. Secondly, the structure was proved to having good reliability and validity by the method of confirmatory factor analysis. Thirdly, no significant differences on the impact factor structure of private enterprises' LMX between different genders, or among ages, positions, working time and so on. However, significant differences existed in different education backgrounds, enterprises style and working time in it.In the end of the paper, seven suggestions were given based on the study above. (1) Staffs should do their best to improve their capabilities and have an optimistic and positive attitude towards their managers. (2)Manager should support the staffs'work and provide them helps. (3)The enterprises should pay more attention to create well working atmosphere for their staffs. The modern corporate culture with fairness and cooperation should be constructed.
