Chinese private enterprises'internationalized operation ability is poor, lack of the experience in integration after the Overseas M&A. So when taking the risk management measures to combat Overseas M&A integrated risk, we should pay more attention to the Overseas M&A integrated performance evaluation. Through the Overseas M&A integrated performance evaluation, private enterprises can find the deficiencies in management and correct as soon as possible. It can also improve the level of integrated management; realize the sustainable development of the Overseas M&A.This thesis based on the private enterprises, summarizes the present situation, characteristic of its overseas M&A and the necessity of the integration. Then for Overseas M&A failures, analysis the risk factors of integrating phase. On this basis, through the questionnaire survey understanding the practice of integrated management, selecting the evaluation indexes from qualitative and quantitative two aspects, by using Fuzzy comprehensive evaluation to set up a set of indexes of performance evaluation to evaluate the Overseas M&A integrated performance. Finally, the thesis uses all of these models and methods into Zhejiang Sanhua Holdings Limited,which tests and verifies not only the scientifically of models and methods, but also the coordination of all these performance evaluation results. At the same time, by way of evaluating the enterprise overseas M&A integrated performance, the thesis scientifically evaluates its effect and shortcoming, which provides scientific basis for perfecting enterprise Overseas M&A integrated risk management.
