Huang Xian basin which formed in the Mesozoic and developed in Sinian period is a basin which Coal and Oil shale symbiosis near the sea. The basin’s sedimentary is controlled by Huang Xian-Jiu Lidian fault. In this paper, the sample was collected in the Bei Zao coal mine, Liang Jia coal mine and Bei Ma exploration area. A lot of experiment was done aim at the sample which collected in study area and microscope technology was appled in studying the composition of Oil shale. Oil shale content characteristics,occurrence characteristics, geochemical characteristics were descrebled in this paper. The sedimentary facies types were divised by stone core identified and well logging curve analysis. This paper also divised the Sequence stratigraphy and draw the section of Sequence stratigraphy. Studies have shown that the coal mine and Oil shale was formed in the situation of lake and swamp sedimentary facies as well as water into the system domain in Sequence stratigraphy.By trace elements tests which the sample comes from the 1203 working face in Bei Zao coal mine,as an example of the second layer of Oil shale,the formed environment of the coal and Oil shale was illustrated.In the last of this paper,Tectonic action,Sedimentary environment and source of organic matter were considered.All factors work together to generate and control the Oil shale.
