Multinational enterprises become the character representatives of the economic competition in the international market, the organizers of the distribution of global resources in the era of information economy. The competitive advantages of multinational enterprises derive from their monopoly structure and the high profits their monopoly structure brings about. So multinational enterprise is a kind Of monopoly structure enterprise,, which has characters of structure network, frame modulized, boundary unclear, coupling flexible. Network organizations and virtual enterprises are representatives.The important attribute of monopoly structure's formation is Superiorities of governance. This paper explains the monopoly structure's formation with transaction cost approach and theory of division of labor. The corporate governance of multinational monopoly structure enterprise includes two levels: The first is governance of modulizatioh enterprises , which inherits the traditional corporate governance theory;The second is the governance of virtual organizations, which is different from the traditional corporate governance theory.There are some changes in corporate governance in the Era of Information economy. The changes of governance structure are:(l) shareholder structure moderate centralism;(2) Shareholder type multiplication and include more and more organizational investors;(3) Investor specialization. The changes of governance mechanism are:(l)Transformation from hierarchical governance to network governance;(2) Incentive mechanism multiplication;(3) The reputation mechanism is more important.This paper discusses about corporate governance of monopoly structure enterprise. It analyzes the purpose of corporate governance, and points out that maximizing corporate property is the principle formechanism design. In order to incentive entrepreneur's behaviors, it designs the "Entrepreneur Margin Account " model, which can transform human capital into non-human capital.This paper gives some advices on four aspects, such as entrepreneur's human resources and governance mechanism.
