Since joining WTO in 2001, marketization and internationalization of banking of China have been improved gradually, which presents that entrance of foreign banks and development of domestic commercial banks bring forth drastic and complicated competition. It has become an important topic that how to form proper stratagems for the banks and appropriate policies for our government. This article analyzes current situation of Chinese banking in depth by applying industrial organization theory and economic and financial knowledge from four aspects of market structure, market conduct, market performance and industrial organization policies, and finally put forward some advices for optimizting industrial organization and improving industrial organization policies.This article is divided into five chapters.the first chapter mainly expounds primary theories and concepts, as well as the special application for banking. The second chapter mainly analyzes causes of highly monopolized market structure from three aspects of market concentration, economics of scale and rampart of ingoing and outgoing. The third chapter mainly analyzes market conduct of our commercial banking from price and financial innovation aspects. The fourth chapter mainly explains causes of low performance through comparison between state-owned commercial banks, non-state-owned banks and foreign banks. The final chapter mainly puts forward some specific advices of banking policies for further optimizing the industrial organization of banking.
