Now, the reform of financial system based on listing for commercial banks has been comprehensively started, the modern enterprise government structure has formed rudimentarily and the problem of incentive and restrictive between owner and manager will also be improved. But till now, only a few studies deeply involved in the problem of incentive and restrictive mechanism have been reported. In this study, we made a comparative study on the internal incentive and restrictive mechanism about all kinds of commercial banks on the level of management system from a management view. This study was carried in terms of the actual commercial bank system and the internal Principal-Agent relationship formed by the specific organic structure in our country. We also made a comparative and positive analysis on the effect of internal incentive and restrictive mechanism based on the arrangement of organic structure, management performance evaluation, internal resources allocation and internal risk management by statistical method.This thesis is separated into four chapters. In the first chapter, we objectively analyzed the carried premiss of internal the incentive and restrictive mechanism in commercial banks mainly from reviewing the developing history of our commercial banks (the improvement of Principal-Agent relationship) . We also gave the major problems and the meaning of studying on the relationships between the incentive and restrictive mechanism and the performance of commercial banks in China based on the cognizance that the problem of muti-epimerization of Principal-Agent targets is a specific and infallible in the economical transforming period in our country. In the second chapter, we gave a theoretical analysis on the relationship between the incentive and restrictive mechanism and the performance of commercial bank in China from the following factors: the arrangement of organic structure, management performance evaluation, internal resources allocation and internal risk management. In the third chapter, we made a comparative and positive analysis on the status quo of the effect of internal incentive andrestrictive mechanism. Mainly compared the effect of internal incentive and restrictive mechanism in all kinds of commercial banks from the factor of arrangement of organic structure, system of performance evaluation, resources allocation and internal risk management. In the forth chapter, we analyzed the key factors which influenced the effect of internal incentive and restrictive mechanism in our commercial banks from the view of executives, creditors, competitors and employee.
