The Study On Corporate Management Structure Of Non-governmental Colleges

Constructing and consummating the legal person management structure of non-governmental colleges in our country is the choice of carrying out"managing state affairs legally and managing colleges legally"policy, is the important way to let non-governmental colleges healthily develop and improve the teaching quality and teaching benefit, and also is the intrinsic request of constructing the harmonious campus of non-governmental colleges. Researching, discussing and consummating the legal person management structure of non-governmental colleges in our country is beneficial in providing the powerful legal principle foundation for non-governmental colleges'healthy development, is advantageous in straightening out the relation between non-governmental colleges and benefit counterparts including government, teacher and so on.Non-governmental colleges are sponsoring investment; the investment benefit of searching corporate property rights of private universities is difficult to implement the important reasons. So far, no clear legal property rights seriously hampered non-governmental colleges improve the corporate governance structure. The legal system is not well designed, the major investor in Non-governmental colleges quality is not high, the decision-making body of Non-governmental colleges and Universities imperfections, other stakeholders such as the role of the absence of a further increase the difficult in building and improving the corporate governance structure of Non-governmental colleges. Therefore, through institutional innovations, in particular the groups of teachers encourage innovation in governance mechanism of government involvement in internal governance and the possibility of channels will enable China to establish private universities all stakeholders in the common management structure.In this paper, based on private universities as a research object , and on private colleges and universities to focus for corporate governance, and from corporate governance structure of the theory, it do a systematic analysis of theory and practice to the corporate governance structure of private universities. This paper includes four main parts: the first part explained the introduction and the background to the study, the targets and methods, and in accordance with the literature and can be reviewed existing research results; the second part of the corporate governance structure based on the theory of non-governmental colleges corporate governance structure of the theoretical foundation for China; in the third part of the corporate governance structure of private universities and issue a description of the status and then the fourth part of the construction and perfection of corporate governance institutions private colleges possible ways.
