The board of trustees system is not only a basic governance system of private universities in America, but also a significant exploration in reforming our traditional higher education system of running schools, governance and investment. The establishing board of trustees one after another in private universities of our country enhanced private universities vigor, strengthened the relations between higher education institution and the society and market. The board of trustees system is still at the exploration stage in our country in overall. The board of trustees has many organization forms. Different boards have different problems in reality. By other's fault, wise men correct their own. So it is significant for the board of trustees system of our country to further research the development course and main characteristics of the board of trustees system in American private universities, analyze comparatively the differences in the actual movement between China and America basing the history and main problems of the board system in our private universities. This thesis includes mainly four parts.The first part elaborates the development course and main characteristics of the board of trustees system in American private universities. The development course can be divided into four periods: origin period, shaping period, mature period and adjustment period. Its main characteristics are following: The diverse board members are mainly social celebrities; Board of trustees has important duties and jurisdiction; Clear internal structure make the board of trustees operate coordinately; The board of trustees system is based on consummated laws and regulations; The American are good at learning from the experience of other countries and innovation at the right moment.The second part summarizes the history and main problems of the board system of private universities in our country. Taking the change of educational policy as the clue, it can be divided into four periods: Introduction time, transformation time, anabasis time and expansion time. The author owns the thought that the problems which exist in the privately-established university board of trustees system of our country are following: The board of trustees does not get along well with the principal, the party committee of CCP etc.; the organizational and operational mechanism is imperfect; the surveillance mechanism has the loophole; the legal system safeguard is not perfect.The third part discusses the differences in the actual movement between Chinese and American privately-established university board of trustees system from three aspects: the board of trustees itself, the relationship between board of trustees and the internal and external environment of the universities. The fourth part proposes certain suggestions to further develop our country private university board of trustees system from three stratification planes: the external and internal environment of university as well as the board of trustees itself. From the external environment of universities, we should enhance the construction of related legislation on the board of trustees and the external supervision basing on our country traditional culture and social reality. From the board of trustees itself, we should improve the constitution of the board of trustees as soon as possible, make the board members' production way standard, optimize the constitution of the board members, establish the drive restraint mechanism of the trustees, perfect the supervision mechanism of the board of trustees.From the internal environment of universities, we should reasonably cope with the relationship between the board of trustees and the principal, the party committee of CCP, and all the teachers and students.
