This paper is derived from the research on nation-startled incident of underproof milk powder, which uncovers the crisis of present agricultural model in China's rural area. Since reforming and opening up, the market economy obtains the rapid restoration and development in China. Especially since the socialist market economy model is established, our state has formed the development configuration of"small government, big society". It lays the political, legal and economical foundations for the emergence and development of civil organization, such as cooperatives. The paper makes a case study on Dongshan Gushangjin Biluochun-tea stock cooperative in Wuzhong district. It analyzes the prerequisites of cooperative emergence, the features of system changing,its internal structure and governing mechanism and the paper also inspects the public goods cooperative provides to its members. As an independent power-benefit identity, the development of the kind of organizations must be influenced by macroscopic and microscopic factors. Based on above analysis, we can draw the following conclusions: The relationship between state and rural society is flexible and changeable; forming model of cooperatives is changing or it has changed; the economic organization of peasants must be lead to their political organization; and the rural specialized cooperatives have become the effective carrier of specialization. It also discusses the present problem the cooperatives facing in China at the end of this paper. There is still a long way to go before the organizations become mature and perfect, due to the lack of relevant laws and regulations.
