Research On The Liability Of Shareholders' Defeetlve Capital Contribution

Capital contribution is an important part in corporation capital systems to shareholders,also is the material guarantee of the participate business activities and external assume responsibility for debt, it violates the benefit of company,other shareholders and the creditor of the company.Defective capital contribution of shareholders is an always happened phenomenon in the economic life,and has threaten the exchange safety,damage the establishment of the social credit system seriously.This thesis is composed of three sections.The first section determine basic conceptions and forms,which violates the effectiveness of the eligible shareholders,the shareholders rights and equity transfer.The second section study the the major countries'the liability systems of shareholders'defeet1ve capita1 contribution of the civil law and the commom law by comparative law,then reference the experience combine with realities.The third section investigate the liability of defeet1ve capita1 contribution shareholders to company,other shareholders and the creditor of the company,and elaborate the liability of other shareholders to company.
