Along with the development of society and economy, company's contribution forms have developed to the direction of diversification,and the significance of human capital to economic growth has be recognized by people gradually.Human capital contribution is the direction of development of Corporate capital system.It is a inevitable result of philosophy in respecting talents and respecting for knowledge.Human capital refers to summation of factors such as knowledge, technology, management methods,which clings to life, forming through investment, and can bring value for people. The human capital is the capital of general properties, both factors of production, and profit of interest-bearing means.Human capital contribution refers to discounting someone's personal manpower capital, registered capital or labor capita of acompany, in certain period and in installments of the way.There has quite scale research achievements of human capital, in economics and management But as a kind of new type of investment in China, it is a new research field in the law.This paper analyses the problems related to the human capital investment, combines the relevant provisions of human capital contribution of our country and others, and human capital contribution practicies in some places,in order to explore an scheme for human capital contribution,which is accord with the situation of Chinese practical of.Researching human capital contribution from angle of company restricted is restricted by traditional Chinese company capital and capital theory system.The author tries to have a breakthrough in these aspects in this paper. The structure arrangement is as follows:The first part starts with the conception of capital, and summarizes the theories of manpower capital, so it can lay the groundwork for a complete research of this paper. This part mainly includes the definition of capital, human capital concepts and features, the concept of human capital compared with several related issues.The second part discusses the practical significance and the theoretical basis of human capital contribution, and analyses the necessity and feasibility of human capital contribution, so it can provide objective evidences and theoretical support to realize human capital contribution.The third part mainly discusses the obstacles of human capital contribution in all aspect, and analyzes the real reason that human capital contribution is terribly difficult to be recognized by law, these can provide new perspective to design the system of human capital contribution.The fourth part comparatively analyses the instance of human capital contribution of the criminal and legislation and our local legislative attempt, and s practices in ome places and exploration when the "Company Law" revised, and points out the fact that legal restrictions on human capital contribution is gradual loosening.The fifth part is the essence of this paper, mainly discusses four questions about human capital contribution:assessment system of human capital value, the responsibility system of human capital contribution, operation system of human capital contribution and risk control system of human capital contribution.
