The Research On The System Of Partnership Activities Implementation

Law of the People's Republic of China on Partnership Enterprises is revised on August,27th,2006. It mainly adds limited partnership, special general partnership and it is clearly stipulated that legal person could be as a general partner, etc.With the new Partnership Enterprise Law coming into effect, the problems in real life gradually emerge. For example, when partnership business executor was involved in disputes, it may bring lots of dissensions. Sometimes, there will be poor supervision, or good faith among partners may disappear, or it will deny the right of enterprise activities implementation by limited partners. If we just settle matters according to the law, it may destroy the good relationship among partners. Thereby, combined with the new Partnership Enterprise Law, this paper want to do research carefully on the issues about partnership activities implementation, then seek the better resolvent.Besides preface and conclusion, this article consists of five chapters.Chapter one is the overview of partnership activities implementation system. It analyses from two factors. One is the essence of partnership. The other is partnership activities implementation. Thereinto, the essence of partnership mainly introduce the definition, characters, kinds of partnership, and the differences between the legal person. Partnership activities implementation covers the definition and differences between partners and legal person activities implementation. The key is to sort out the basic legal problems of partnership and its activities implementation in this part.Chapter two is the introduction of legislations on partnership activities implementation in main countries and areas, including England, America, Germany, France, Italy and Taiwan. This part aims to get conclusions form comparasion.Chapter three is the system of general partnership activities implementation. It includes the basic principle, the supervision system, the voting system, the forbidden trade and business, the gain and loss, the restriction to employed officers' behavior.Chapter four is the system of limited partnership activities implementation. It mainly starts with two factors. One is the basic principle, the other one is special rules. Chapter five is the problems and perfection of partnership activities implementation in China. It is also the key of this paper.
