Legal Analysis On The Communist Party Committee Of China Attending The Corporate Govern

Corporate governance structure of state-holding listed companies of China is very different compared with the models of foreign countries which have typical corporate governance styles in the world,especially through the provisions of the Constitution,the Company Law and the Constitution of the Chinese Communist Party,the Communist Party Committees of China in the state-holding listed companies are entitled the qualification in the corporate govern.This is the most prominent character in the corporate governance of the state-holding listed companies of China. Furthermore,this special legal arrangement makes the corporate governance structure more complex.On the other hand,the unusual phenomena of inside control and the serious absence of supervision provide the possibility of the Communist Party Committee of China attending the corporate govern.And there are problems such as weak function of Communist Party Committee of China of the company, conflicts between Communist Party Committee with the board of directors.This paper analyzed the problems which are Communist Party Committees encountered in the process of corporate govern of the state-holding listed companies.All of these are based on domestic and foreign-related studies in the field of corporate governance.And through the specificities of the state-holding listed companies,based on the facts and materials,the paper did some legal researches on the problems which are emerging in the process of the party committees attending the corporate govern of the state-holding listed companies.And then,this paper combined the analysis with the realities to put forward some constructive viewpoints on solving these problems.This thesis is divided into four parts.The first one discussed the concept of corporate governance of listed company,compared the typical models of foreign countries,analyzed the characters of state-holding listed companies of China and then educe the theme——the Communist Party Committee of China attending the corporate govern of the state-holding listed companies of China.The second one described the history and status quo of the Communist Party Committee of China attending the corporate govern of the state-holding listed companies of China,and analyze the interrelated problems.The third one discussed the basic theoretical problems of the Communist Party Committee attending the management of state-owned companies for having an in-depth look on the process.The last one putted forward some suggestion about how to make the Communist Party Committee of China more effectively participating in the corporate govern of the state-holding listed companies of China.
