The Legislative Research To The System Of Appraisal Right Of Dissent Shareholders In China

The appraisal right of dissent shareholders is an exception to the capital maintenance principle;its function is to improve the shareholders retreat system and the minor shareholdersr protection system.On the first day of the year 2006,the new company's law starts to execute officially. In the article, the system of the appraisal right of dissent shareholders was stipulated. This system provides advantageous safeguards of system,but it still has many deficiencies.In this paper the author conducted an in-depth theoretical analysis about the appraisal right of dissent shareholders,and conducted the legislative system analysis about the existing appraisal right of dissent shareholders in China .On this basis, I put forward a series of proposals about perfecting this right and system.I hope my article can able to contribute my strength to the consummation of the of the appraisal right of dissent shareholders .
